Terms of Service
Last updated: September 4, 2026
These Terms of Service ("Terms") govern access to and use of the CDL Compliant platform, websites, and related services (the "Service"), operated by CDL Compliant ("CDL Compliant," "we," "us"). By creating an account, accessing a school portal, or paying a platform fee, you agree to these Terms. If you use the Service on behalf of a training school, you represent that you have authority to bind that school, and "School" refers to that organization. Students' use of the platform is governed by the separate Student Terms of Use; where these Terms address students, they describe the School's responsibilities regarding its students.
1. The Service
CDL Compliant is a software platform that helps commercial driver training schools manage Entry-Level Driver Training (ELDT) theory content, practice tests, behind-the-wheel (BTW) hour logging and skill sign-offs, scheduling, documents, and related records, and gives students a portal to complete training their School assigns.
Training-provider responsibility. Each School — not CDL Compliant — is solely responsible for its status and obligations as a training provider, including the accuracy and completeness of training records, the qualifications of its instructors, reporting completions to the FMCSA Training Provider Registry (TPR), and compliance with 49 CFR Part 380 and all other applicable laws. The Service provides tools and record-keeping only. We do not guarantee that use of the Service will result in regulatory compliance, passage of any exam, or issuance of any permit or license.
TPR registrations. Completions of training content authored by a School are reported under that School's own TPR registration. Completions of CDL Compliant's platform courses are reported under CDL Compliant's TPR registration. In both cases, the School is responsible for ensuring each completion is submitted to the TPR in a timely manner, using the submission queue provided in the Service. CDL Compliant may monitor completions under its own registration and may — but is not obligated to — submit them on a School's behalf; any such monitoring or submission is a courtesy and does not transfer the School's responsibility or make CDL Compliant a training provider for the School's program.
2. Accounts
Schools create and manage accounts for their staff and students. You are responsible for keeping your login credentials confidential and for all activity under your account. Students receive a temporary password from their School and should change it after first login. You must provide accurate information and be at least 18 years old to use the Service.
3. Fees and the 12-Month Price Lock
The Service is currently free for Schools. Each student pays a one-time platform access fee at signup (currently $35), with the first three students at each School exempt. Fees are processed by Stripe; we do not store card numbers.
Price lock: the per-student fee in effect on the date a School joins the Service is locked for that School for twelve (12) months from that date. After the price-lock period, we may change fees (including introducing School fees) with at least thirty (30) days' notice; changes apply only going forward and never to payments already made.
Except where required by law, platform fees are non-refundable once the student's portal access has been activated. Any tuition, program prices, deposits, or payment plans between a School and its students are solely between them — CDL Compliant is not a party to those arrangements and does not process them unless expressly stated.
4. Content and Intellectual Property
The Service includes training content provided by CDL Compliant ("Platform Content") — including courses, lessons, topics, practice tests, exam questions, answer keys, explanations, videos, and their selection and arrangement — and content created or uploaded by Schools ("School Content"). Platform Content, the Service, and all associated intellectual property rights are and remain the exclusive property of CDL Compliant and its licensors. All rights not expressly granted are reserved.
License. We grant Schools and their students a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Platform Content inside the Service only, solely for the School's own training program. This license ends when the account or these Terms terminate.
No reproduction. Except as expressly permitted in writing by CDL Compliant, you may not — and may not permit or assist anyone else to — copy, reproduce, download in bulk, screenshot at scale, print for redistribution, publish, distribute, publicly display, translate, or create derivative works from Platform Content; sell, resell, license, rent, or otherwise commercialize it; scrape, crawl, or extract it by any automated means; use it to create, train, or improve a competing product, question bank, curriculum, or machine-learning model; or remove or obscure any proprietary notices. Sharing individual lessons with an enrolled student through the Service is use; rebuilding our course outside the Service is reproduction — the former is licensed, the latter is prohibited.
Schools retain ownership of School Content and grant us a non-exclusive license to host, display, and process it as needed to operate the Service. You are responsible for having the rights to anything you upload.
Enforcement. You agree that unauthorized use of Platform Content would cause CDL Compliant irreparable harm for which money damages are inadequate, and that CDL Compliant is entitled to seek injunctive relief (in addition to all other remedies) without posting a bond. Notwithstanding Section 10, either party may bring an action in court for infringement or misuse of intellectual property. This section survives termination.
5. Acceptable Use
You agree not to: misrepresent training records or completions; share accounts or complete training on another person's behalf; attempt to access data of another school or another person; probe, disrupt, or reverse-engineer the Service; upload unlawful content or malware; or use the Service to violate any law. We may suspend or terminate accounts that violate these Terms or create risk for the Service, other users, or the public.
6. Records, Data, and Document Requirements
Schools control their students' training records within the Service and are responsible for their accuracy. We handle personal information as described in our Privacy Policy. Schools are responsible for obtaining any consents from their students required for the School's own use of student information.
Document requirements are the School's call. The School — not CDL Compliant — decides which documents its students must upload, by defining document types and attaching them to its programs. The School is solely responsible for (a) ensuring the documents it collects satisfy every law and regulation applicable to its program (including any FMCSA, state licensing, or record-keeping requirements), (b) reviewing what students upload, and (c) verifying authenticity, accuracy, and sufficiency. CDL Compliant stores uploaded documents securely but does not review, verify, or approve them, and is not responsible for documents a School failed to collect or should not have collected.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT TRAINING CONTENT IS ERROR-FREE OR SUFFICIENT FOR ANY EXAM OR REGULATORY REQUIREMENT.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) CDL COMPLIANT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, REGULATORY FINES, OR FAILURE TO OBTAIN ANY PERMIT OR LICENSE; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
9. Indemnification
Each School will defend and indemnify CDL Compliant against claims arising from the School's Content, its training operations, its dealings with its students, or its violation of law or these Terms.
10. Dispute Resolution — Arbitration and Class Waiver
Please read this section carefully — it affects your legal rights. Any dispute arising out of or relating to the Service or these Terms that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, held in Santa Clara County, California (or, at your election, conducted remotely or in your county of residence where the rules so require). Judgment on the award may be entered in any court of competent jurisdiction. By agreeing to arbitration, you and CDL Compliant each waive the right to a trial by jury and the right to participate in a class, collective, or representative action. Either party may instead bring an individual claim in small claims court, and either party may bring claims for infringement or misuse of intellectual property in court as provided in Section 4. You may opt out of this arbitration agreement by emailing support@cdlcompliant.com within 30 days of first accepting these Terms.
11. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. For any matter not subject to arbitration, the state and federal courts located in Santa Clara County, California will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
12. Term, Termination, and Changes
Schools and students may stop using the Service at any time. We may suspend or terminate any account or access to the Service at any time, with or without cause and with or without notice, including for breach of these Terms, risk to the Service or other users, or discontinuation of the Service. As the one exception: if we terminate a student's access without cause within ninety (90) days after that student paid the platform fee, we will refund that fee. Upon a School's written request within 30 days of termination, we will make the School's training records available for export.
We may update these Terms; if a change is material we will give notice through the Service or by email, and continued use after the effective date (including clicking "I Agree" in the Service, which we record with a timestamp) constitutes acceptance. The fee protection in Section 3 survives changes to these Terms during the price-lock period.
